Job Title: Company Secretary Manager (ICSA / MAICSA)
Report to : Group Company Secretary
Job Purpose
To provide high-level managerial tasks by managing all secretarial services functions including but not limited to administrative and communications.
Key Responsibilities
- Organize, attend and record minutes of Board meetings of all companies in the Group and Weekly Management meetings.
- Assist in annual return, audited accounts, beneficial owners and all other statutory submissions within the time frames allowed.
- Assist in Annual Report matter & Corporate Governance.
- Draft / Release Bursa announcements.
- Assist in the convening of Annual and Extraordinary General Meetings of the company.
- Assist in the preparation of directors’ resolutions and file them in a proper manner.
- Attend to requests from third parties for company information.
- Monitor and update statutory and minute books as and when required.
- Preparing agendas and assisting in collating of Board papers for Board Meetings during certain months.
- Liaison with all Divisions / Management with regards to any secretarial issues that may arise.
- Ensure statutory registers and books are properly maintained for each subsidiary in the Group.
- Ensure Board papers are meticulously collated and despatched on time.
Job Requirements
- Must be a Qualified Chartered Company Secretary or final year of Corporate Governance course/ICSA.
- A minimum of 10 years’ experience in public practice and preferably 2 years in a public listed company.
- Excellent organization & communication skills, high integrity, meticulous and proficient English command.
