Chief Financial Officer (must have direct, hands-on IPO experience) – based in Klang

Role Overview:

• We are seeking an experienced and commercially driven Chief Financial Officer (CFO) to lead the Group’s financial strategy, corporate finance, governance and capital management as the organisation enters its next phase of growth.
• A key mandate of this role is to lead and prepare the Group for a potential Initial Public Offering (IPO). The successful candidate must have direct, hands-on IPO experience, preferably involving a Bursa Malaysia listing, with proven involvement from pre-IPO preparation through listing.
• The CFO will work closely with the CEO, Board, investment banks and professional advisers to establish the financial, governance and corporate structures required for a successful IPO and transition into a public-listed company.

Key Responsibilities:

1. IPO Readiness & Listing

• Lead the Group’s end-to-end IPO readiness and listing preparation.
• Develop and manage the IPO roadmap, timelines, financial workstreams and key milestones.
• Lead corporate and financial restructuring required ahead of listing.
• Oversee financial due diligence, audits, valuations, internal controls and IPO documentation.
• Coordinate closely with investment banks, principal advisers, auditors, lawyers, tax advisers, valuers and other professional advisers.
• Support prospectus preparation and ensure readiness for applicable Bursa Malaysia and Securities Commission Malaysia requirements.
• Prepare the organisation for public-company reporting, governance and compliance standards.

2. Financial & Corporate Strategy

• Lead the Group’s financial strategy, budgeting, forecasting and long-term financial planning.
• Advise the CEO and Board on business performance, investments, expansion and capital allocation.
• Drive profitability, cash-flow optimisation and sustainable growth.

3. Corporate Finance, Fundraising & M&A

• Lead equity/debt fundraising and strategic investment initiatives.
• Manage relationships with banks, financial institutions, investors and strategic partners.
• Oversee M&A, valuations, financial due diligence and corporate transactions.
• Optimise the Group’s capital structure and financing strategy.

4. Financial Reporting, Governance & Controls

• Ensure timely and accurate consolidated financial and statutory reporting.
• Strengthen financial controls, governance, policies and processes across the Group.
• Ensure compliance with applicable accounting, tax and statutory requirements.
• Establish public-listed company-level financial governance and reporting standards.

5. Investor Relations & Board Engagement

• Lead financial and strategic reporting to the Board, shareholders and investors.
• Support investor presentations, roadshows and fundraising activities.
• Develop the Group’s financial equity story alongside the CEO and advisers.
• Establish effective investor-relations practices ahead of and following the IPO.

6. Finance Leadership

• Build and lead a high-performing Group Finance function covering accounting, FP&A, treasury, tax and corporate finance.
• Strengthen financial systems, reporting processes and controls across subsidiaries and business units.
• Build scalable financial infrastructure to support continued growth and future listing requirements.

Critical Selection Criteria

1. IPO/listing(s) you were directly involved in.
2. Responsibilities throughout the IPO process.
3. Proven involvement from pre-IPO preparation through successful listing.
4. Direct engagement with investment banks, principal advisers, auditors, lawyers and regulators.
5. Experience in corporate restructuring and IPO financial due diligence.
6. Involvement in fundraising, M&A and investor relations.
7. Exposure establishing public-company-level governance, reporting and internal controls.
