About the Client
Our client is a professional corporate services firm that provides governance, compliance, and company secretarial support to businesses. They assist organizations with services such as share registry management, corporate restructuring, and regulatory advisory, while also offering business support solutions including payroll, HR outsourcing, and assistance with corporate exercises and IPO-related processes.
Key Responsibilities:
- Prepare, update, and ensure the timely lodgment of statutory forms, notifications, and returns, while maintaining statutory registers, secretarial records, and internal administrative documentation in compliance with regulatory requirements.
- Attend meetings and assist in drafting Directors’ Circular Resolutions, Members’ Circular Resolutions, meeting notices, and minutes.
- Support the preparation and coordination of Board, Board Committee, and General Meetings, including compiling meeting papers and relevant materials.
- Stay updated with regulatory and statutory requirements and provide general company secretarial support to ensure clients’ compliance with applicable laws and regulations.
- Liaise with and attend to matters with the Companies Commission of Malaysia and other relevant authorities regarding company secretarial matters.
- Assist in the incorporation of new companies and related statutory documentation.
- Perform any other duties and responsibilities related to the role as assigned from time to time.
Job Requirements:
- Professional qualification to act as a Company Secretary with membership in ICSA, MAICSA, or MACS.
- 1–5 years of relevant working experience in company secretarial or corporate governance functions.
- Strong knowledge of the Companies Act 2016, Companies Commission of Malaysia (SSM) guidelines, and the Malaysian Code on Corporate Governance.
- Ability to work independently while managing multiple tasks and meeting deadlines.
- Proficient in maintaining and safeguarding statutory records and secretarial documentation.
- Computer literate with good working knowledge of MyCoID and Microsoft Office applications (Word, Excel, and PowerPoint).
- Familiarity with Microsoft Outlook and Microsoft Teams will be an added advantage.
- Good command of English and Bahasa Malaysia, both written and spoken. Mandarin will be an added advantage.
- Possess a pleasant personality with strong interpersonal and communication skills, and demonstrate a proactive, meticulous, and responsible working attitude.
