Corporate Secretary

About our client

Our client is a pioneering force in Malaysia’s fintech sector, offering cutting-edge digital financial solutions and driving transformative change across the industry. To support this growth, they are seeking a Corporate Secretary to play a pivotal role in managing board governance, regulatory compliance and the secretarial function across several expanding entities.

Key Responsibilities

  • Provide full suite of company secretarial services for the Group and its subsidiaries.
  • Manage Board and Management meeting logistics, agenda preparation and minute-taking.
  • Advise management on corporate law, compliance and governance best practices.
  • Maintain statutory records, ensure timely filings (returns, resolutions, etc.).
  • Support internal audit, risk and legal teams on regulatory matters.
  • Liaise with stakeholders including directors, regulators, auditors and partners.
  • Facilitate director onboarding and mandatory training.
  • Assist in secretarial duties for new entities being formed (local and regional).

Requirements

  • ICSA-qualified (Institute of Chartered Secretaries and Administrators).
  • Minimum 5 years’ experience in company secretarial function (preferably in financial institutions or fintech).
  • Experience managing board matters for a listed or listing-prepared company.
  • Familiarity with Companies Act 2016, Bursa Malaysia Listing Requirements and relevant financial sector guidelines.
  • Strong communication in English and Bahasa Malaysia; Mandarin is a bonus.
  • Hands-on, structured, adaptable to rapid change and corporate restructuring.
  • Strong professional discretion in handling confidential matters.
