Job Summary:
The Group Company Secretary is responsible for ensuring the company complies with statutory regulatory requirements and
for implementing decisions made by the Board of Directors. This role involves providing comprehensive legal and administrative support to the board and its committees, managing corporate governance and ensuring effective
communication and liaison between the board, executive management and shareholders.
Key Responsibilities:
- Corporate Governance:
● Ensure the company adheres to governance frameworks and practices.
● Organise and attend Board of Directors meetings, ensuring accurate minutes are recorded and actions are tracked.
● Advise the Board on corporate governance matters and ensure board policies and procedures are followed. - Regulatory Compliance:
● Ensure the company complies with relevant laws, regulations and corporate policies.
● Stay updated on changes in legislation and regulations that affect the company.
● Oversee the filing of necessary documents and reports with regulatory authorities. - Board Support:
● Prepare agendas, minutes and Board papers for Board and Committee meetings.
● Facilitate the induction and ongoing training of board members.
● Manage board evaluations and implement best practices for board performance. - Shareholder Relations:
● Organise and manage shareholders meetings, including Annual General Meeting.
● Ensure effective communication with shareholders and respond to shareholder inquiries.
● Maintain the company’s share register and oversee share transactions. - Liaison and Coordination:
● Act as liaison between the Board, Senior Management and external stakeholders, including regulatory authorities, auditors and legal advisors.
● Coordinate with international subsidiaries and branches to ensure compliance with local corporate governance requirements. - Advisory and Support:
● Provide expert advice on corporate secretarial matters, including mergers and acquisitions, restructuring and other corporate transactions.
● Support the Group Chief Corporate Services Officer in the implementation of corporate governance initiatives and policies. - Policy and Procedure Development:
● Develop, review and update company secretarial policies and procedures to align with best practices and legal requirements.
● Implement effective corporate governance policies across the company and its subsidiaries. - Team Leadership:
● Lead and mentor the company secretarial team.
● Foster a collaborative and high-performance culture within the team.
● Ensure continuous development and training of team members.
Requirements:
- Qualifications:
● ICSA (Institute of Chartered Secretaries and Administrators) qualification (or equivalent) or a licensed Company Secretary with the Companies Commission of Malaysia.
● Bachelor’s degree in Law, Business Administration, Corporate Governance or a related field. - Experience:
● Minimum experience of 15 years of experience in corporate secretarial roles, preferably within multinational corporations.
● Extensive experience in corporate governance and compliance requirements in Malaysia and internationally. - Skills:
● Ability to work under pressure, meet deadlines and manage multiple priorities in a fast-paced environment.
● Special skills needed for this role include excellent organisation skills, time management skills, high integrity and professional ethics, good communication skills and being meticulous and having good command in English.
