Our client is a market leader in the Fintech industry in Malaysia.
Responsibilities:
- Provide a full suite of company secretarial functions to the company.
- Arrange, schedule and facilitate Board of Directors meetings, Management meetings and other general meetings as required.
- Prepare agenda items and all related materials.
- Minutes taking for Directors’ and Management meetings.
- Advise management and stakeholders on issues relating to corporate law, regulatory and governance.
- Support the company’s internal audit and compliance functions to ensure adherence to regulatory requirements.
- Maintain and update statutory records, ensure timely filing of annual returns, financial statements and statutory returns.
- Keep updated on changing market and regulatory landscape, monitor and communicate changes that may influence the decision of the Board of Directors and senior stakeholders.
- Monitor plans and deadlines, coordinate and organize work groups to ensure the decisions of the Board of Directors and senior management are implemented in a timely manner.
- Oversee on-boarding of new directors and arranging training for directors and committee members.
- Respond to requests from relevant stakeholders including audit teams and regulators.
- To execute any other ad-hoc secretarial tasks assigned by Board of Directors from time to time.
Requirements:
- Possess a Professional Certificate (Chartered Secretary/ICSA), Diploma or Bachelor’s Degree in Business or Law.
- Min. 5 years working experience as Company Secretary, preferably in a financial institution.
- ICSA Qualifications.
- Good knowledge of Companies Act, 1965.
- Proven experience handling Board or Directors in a financial institution.
- Leadership skills: capable of managing teams and communicating with stakeholders from all levels.
- Structured and highly organized yet flexible in adapting to changes in a fast evolving landscape.
- Demonstrated experience and sound judgement in handling confidential and sensitive information.
- Knowledge of corporate law, corporate governance and regulatory requirements, especially for financial sector.
- Good command of written English and Bahasa Malaysia. Knowledge of Mandarin would be an advantage.
- Able to work in a fast paced environment.
