About the company:
Providing professional legal services in a shared services environment to various business units for a conglomerate in Kuching Sarawak with diversified businesses in construction and property development.
Responsibilities:
Commercial Contract Management:
- Lead the drafting, review and negotiation of complex commercial contracts, including: EPCC / construction contracts, procurement and supply agreements, services agreements, variation orders (VOs), supplemental agreements and amendments and inter-company agreements.
- Ensure contracts accurately reflect agreed commercial positions and protect the Group’s legal and financial interests.
Project and Operational Support:
- Provide legal and contractual support to BUs and project teams throughout the contract lifecycle, including pre-award structuring and risk allocation; contract execution and variations; and post-award contractual interpretation and dispute avoidance.
- Advise on contract administration issues, claims, extensions of time, LAD exposure and termination rights.
External Stakeholder & Counterparty Management:
- Lead contractual negotiations with external counterparties, consultants, contractors and suppliers.
- Work closely with external legal advisers on complex or high-risk commercial matters, ensuring cost efficiency and alignment with Group positions.
Standardisation & Legal Frameworks:
- Develop, maintain and continuously improve Group-wide contract templates, playbooks and standard clauses.
- Drive consistency in contract structures and risk positions across BUs.
Team Leadership & Capability Building:
- Mentor and guide Legal Managers / Legal Counsels in commercial contract matters.
- Support capability building and knowledge transfer within Group Legal and SBUs.
Qualifications & Experience:
- Bachelor of Laws (LLB) or equivalent
- 10–12 years’ experience in commercial contracts, construction/projects or in-house legal roles.
